Benesch’s Executive Compensation & Benefits Practice Group focuses on advising clients in the design, operation, and day-to-day administration of their employee benefit and executive compensation arrangements, as well as when legal compliance issues arise or when these plans or arrangements are being scrutinized by a government agency. We understand how critical benefits and compensation programs are to employees and the challenges that companies face in designing and maintaining these plans, programs and arrangements in compliance with the myriad of, and constantly changing, legal requirements.
Together, our Employment and Executive Compensation & Benefits Practice Groups attorneys assist clients by drafting and negotiating executive and officer employment agreements as well as cash, equity or equity-based incentive arrangements. We advise on the transition of key executive relationships and counsel clients on employee separation issues and the corresponding agreements.
Our attorneys also have extensive experience advising clients and guiding them through the complexities of human capital and people services issues arising in corporate transactions of all kinds, including mergers, acquisitions, divestitures, and restructuring. We focus on being a partner to our clients throughout the deal cycle and beyond, from understanding the value proposition for the transaction, managing and mitigating risk and exposure through due diligence and negotiating the transaction documents, and recommending action items for post-closing clean-up and/or implementing best practices. We work closely with our clients to develop playbooks to help management teams and, when applicable, their private equity sponsors (and operating partners), plan for and be prepared with the HR integration approach that leads to a smooth transition for employees and moves the operations quickly toward value creation.
