Kathleen focuses her practice on commercial, retail, office, and industrial leasing transactions. She has experience drafting, negotiating, and reviewing retail leases, amendments, and other related documents on behalf of retail landlords with tenants of all sizes, including grocery stores and other anchors, restaurants, and outparcels. In addition, she has represented landlords and tenants in connection with leasing for office, industrial, warehouse, and other commercial uses.
Kathleen’s practice also includes the representation of buyers and sellers in the acquisition and disposition of industrial, retail, office, and multi-family properties, including with respect to title, survey, and environmental issues. She has counseled clients on zoning matters, including applications for variances and amendments. Kathleen has experience analyzing a wide variety of real estate issues and counseling clients with respect to those issues, along with managing complex real estate transactions and redevelopment projects.

- Represented LeadsOnline, LLC, a portfolio company of TA Associates, in its acquisition of Nighthawk.cloud, LLC, a provider of data analytics software to law enforcement and investigative agencies.
- Represented an operator of veterinary hospitals in its acquisition of a neighboring parcel of land in connection with the expansion of a veterinary clinic.
- Represented the buyer in its acquisition of a pet treat manufacturing company, a transaction which included a rollover of equity interests.
- Represented Qualus Power Services, a portfolio company of New Mountain Capital, in its acquisition of Ferreira Power Group, a specialized power engineering firm providing distribution palling and design, grid hardening, and program management for utility providers.
- Represented Weinberg Capital Group in the sale of its interest in North American Kitchen Solutions, Inc. (dba Hoodmart).
- Represented sellers in the sale of their industrial and commercial plumbing and HVAC service businesses.
- In 2020, Benesch exclusively represented Site Centers Corp. on all lease amendments throughout Site’s portfolio required as a result of the Covid-19 pandemic.
- Represented a multi-faceted redevelopment of an existing shopping center located in the Chicago, IL area that encompasses nearly 700,000 square feet. The project includes a land sale to a prominent national retailer that owns an adjacent parcel to allow for a store expansion by that retailer, as well as significant related site work. Benesch is coordinating all aspects of the redevelopment and transaction for the client.
- Represented the seller in a divestiture of its JV interest to its former JV Partner.
- Represented Vendors Exchange International, LLC in the internal restructuring of a business consisting of the sale, repair, and development of intellectual property for traditional, industrial and specialty vending machines.
