Dorothea focuses her practice on Corporate and Securities. She has experience in conducting due diligence for multiple transactional deals including asset acquisitions, special purpose acquisition companies, and stock purchases. Additionally, Dorothea has created multiple deal-related documents including various deal checklists, operating agreements, diligence memorandums, and written consents.
Prior to joining Benesch as an Associate, Dorothea interned inhouse for a local insurance company where she engaged in researching legal issues including tracking technology compliance, applicability for a mobile medical device, and recreational waivers for workers compensation. Further, Dorothea drafted and presented on memorandums for research conducted, answered any posed questions, and then assisted in implementing the memorandums into the organization.
While in law school, Dorothea was enrolled in the Transactional Law Clinic where she was able to gain experience in assisting non-profits ensure corporate compliance. This included drafting human resource policies, ensuring family and medical leave compliance, and researching the taxation of scholarships.

- Represented a private equity sponsored buyer in its acquisition of a provider of medical communications, marketing and education services.
- Represented Qualus Power Services, a portfolio company of New Mountain Capital, in its acquisition of The Asset Company, PLLC (d/b/a ASSET Engineering), a provider of specialized engineering services to utilities, renewable and energy storage developers, and industrial clients throughout the United States.
- Represented Qualus Power Services, a portfolio company of New Mountain Capital, in its acquisition of Linda Rogers & Associates, a specialized advisory, program management, and engineering firm with differentiated capabilities in information technology, regulatory compliance, and cybersecurity, in support of critical power infrastructure and network resiliency and reliability.
- Represented an Ohio based Professional Employment Organization (PEO) in the sale of the company to a national PEO based on the West Coast.
- Represented the buyer in its acquisition of a pet treat manufacturing company, a transaction which included a rollover of equity interests.
