Daniel provides counsel to clients on a variety of corporate matters, including business formation, reorganizations, mergers and acquisitions, commercial contracts, and corporate governance.
He has experience drafting and negotiating corporate and transactional documents, including asset and stock purchase agreements, operating agreements, incorporation and organizational documents, employment agreements, promissory notes, security agreements, commercial contracts, restrictive covenant and confidentiality agreements, corporate resolutions, and ancillary transactional documents. He is also experienced in performing transactional due diligence, including review and preparation of summaries of governing documents, supply and distribution agreements, lien search results, real property leases, and a variety of other contracts and materials.

- Represented a private equity sponsor and its portfolio company in multiple add-on acquisitions, including the acquisition of a wholesaler and distributor of industrial weights and related measuring equipment.
- Represented SpringBig Holdings, Inc. (“springbig”) (NASDAQ: SBIG), a leading provider of SaaS-based marketing solutions, consumer mobile app experiences, and omnichannel loyalty programs to the cannabis industry, in the closing of a public offering of 13,061,014 shares of its common stock at an at-the-market public offering price of $0.3037. The offering raised approximately $3 million in gross cash proceeds and, in addition, approximately $1.0 million of existing convertible notes were cancelled in exchange for shares in the offering at the public offering price, which springbig intends to use for working capital and general corporate purposes.

- Represented Olympus Partners and Excel Fitness Holdings in their acquisition of fitness clubs in North Carolina, Virginia, Tennessee, Georgia, Texas and Oklahoma.
- Represented MOTIS Brands, an e-commerce leader in loading, hauling, mobility, automotive and recreational segments, in its sale to Prospect Hill Growth Partners, a private equity firm.
