Brian counsels clients with respect to a variety of corporate and securities matters, including mergers/acquisitions and leveraged buyouts, fund formation and investment management, and reporting and corporate governance.
He advises companies in connection with acquisitions, buyouts, dispositions, equity financings and other corporate transactions. In addition to advising on corporate transactions, Brian counsels private equity funds and independent sponsors on fund formation and compliance matters, and regularly assists pension plans and other clients with investments in a wide variety of alternative investment vehicles. Brian also advises publicly-held companies with respect to on-going reporting and disclosure requirements and general securities and corporate governance matters.

- Represented Gridiron Capital Partners in its divestiture of Rough Country, a leading provider of branded aftermarket performance-enhancing products and accessories, to TSG Consumer Partners.
- Represented Change Healthcare in its acquisition of the Connected Health patient access service unit of Connect America LLC. Change Healthcare uses its Intelligent Healthcare Platform to help customers address challenges with the technical capabilities embedded into its solutions. Change Healthcare uses APIs and AI to help improve patient outcomes, regulatory compliance, operational efficiency, decision making and the consumer experience.
- Represented Amprion, a developer of technology for the early detection of neurodegenerative brain diseases in connection with offering of Series A Preferred Stock.
- Represented HEXPOL in its acquisition of Preferred Compounding, a provider of proprietary and custom mixed rubber compounding, from Audax Group.
- Represented Evolution Capital Partners and its portfolio companies in numerous transactions, including representation of Evolution Investments IV in its acquisition of Empire Dental Arts and subsequently represented Empire Dental Arts in its acquisition of multiple dental practices in Ohio.
