Andrew’s experience spans mergers, acquisitions, private equity, capital raising, IPOs and corporate governance matters. From China and Japan to Russia, the Middle East, and across the U.S., Andrew represents clients worldwide, negotiating and structuring their most significant and complex transactions and providing them with day-to-day counsel. He steered both Uber and sweetgreen through their successful IPOs and regularly advises a global clientele on a broad spectrum of legal concerns. Andrew has handled more than 50 intricate global M&A transactions for both operating companies and well-known private equity fund sponsors, including Blackstone, Apax Partners, L Catterton, New Mountain Capital, ABRY, FTV Capital and Starwood Capital. Andrew’s clients appreciate his extraordinary insight and experience in handling both the business and legal sides of deals. He also has raised over $20 billion in venture capital, growth equity and debt financings, utilizing asset-backed credit facilities, private placements, convertible debt and other customized financing techniques.

Representative Matters:
- Led both Uber (2019) and Sweetgreen (2021) through IPO, raising $10 billion and $350M, respectively.*
- Guided three separate carveout sales of Uber’s ride-sharing and food-delivery businesses in China, Southeast Asia and Russia, respectively, to Uber’s largest competitors in each of those markets, in exchange for becoming the largest minority shareholder in each of those competitors, for an aggregate deal value of approximately $40 billion.*
- Advised on Blackstone’s leverage recapitalization bid for Dell, Inc., valued at approximately $24 billion during Dell’s “go-shop” process after Dell signed a definitive agreement to consummate a management take-private transaction.*
- Led all aspects (business and legal) of sweetgreen’s acquisition of Spyce Food, a robotic-powered restaurant company whose technology will enable Sweetgreen to automate the assembly of its ingredients in its restaurants.*
- Handled the $1 billion carveout investment in Uber’s self-driving vehicle subsidiary, negotiating against Toyota, Softbank Vision Fund and Denso.*
